Identify the contracting seller, the intermediary's role and the legal checks that change with a consumer sale.
By Peter Mattey · 9 min read · Facts checked 2026-10-03
Yacht broker vs dealer Italy questions are best answered by identifying who is selling the boat and what the intermediary has agreed to do. A business can advertise a yacht without being the contracting seller. Conversely, a business selling in its own commercial capacity needs assessment as the seller in that transaction. Read the appointment and proposed sale documents together, then ask a locally qualified lawyer to explain the roles and the legal framework before you commit.
This guide compares the Civil Code definitions of mediation and sale with the Consumer Code's business-to-consumer framework. It covers party identification, fees, used-goods rules and defects. It does not assume that every business calling itself a dealer owns its advertised stock, or that every brokered sale has the same legal treatment. The first distinction is between the sale contract and the intermediary's role. The Civil Code defines sale by transfer of ownership or another right for a price. It defines mediation by bringing parties together without the specified relationships of collaboration, dependency or representation. These legal definitions provide a starting point for reviewing the actual transaction. A trading description alone is insufficient to establish the role. Ask a locally qualified lawyer to assess the documents if the business's explanation and the sale wording differ.
As a practical recommendation, ask the proposed agreement to identify the seller clearly before discussing the payment route. Compare that name with the ownership information supplied and ask who is authorised to act where a different person signs. This guide does not establish yacht-title formalities or ownership merely from an invoice. It focuses on identifying the contracting roles. If the business says it is selling for an owner, ask how that arrangement is reflected in the documents you are expected to sign.
The Consumer Code separately defines a business or professional seller, including where another person acts in its name or on its behalf. That makes the actual commercial arrangement relevant, rather than only the intermediary's label. Ask the adviser whether the proposed sale falls within the consumer-sales framework and who carries the seller obligations. Do not assume that using a broker turns a private owner into a business seller, or that acting through another person removes a business seller from the statutory definition.
Broker tip: As a practical document check, ask for the seller's identity and the intermediary's role in writing. Have a locally qualified lawyer explain any difference between that explanation, the ownership evidence and the proposed signing arrangement. Our guide on how much yacht broker commission is in Italy covers a related point.

Section 2
The Consumer Code framework applies to qualifying contracts between a consumer and a seller. Its scope covers conformity of goods, remedies for a lack of conformity and related guarantees. Ask a locally qualified adviser whether your purchase falls within that framework before reading the seller's warranty wording. This guide does not classify every buyer as a consumer simply because the purchase concerns leisure boating. The intended contractual parties and transaction need assessment, particularly where a company or other business buys the yacht.
Used goods are included in the statutory framework, with the qualification described by the law concerning previous use and defects arising from normal use. A used yacht is therefore not excluded from the framework solely because it has already had an owner. Keep that distinction separate from an assessment of the yacht's actual condition. As a practical recommendation, obtain clear written information about known condition and proposed warranty terms, then ask the adviser how the law applies to the specific transaction.
The seller-responsibility rule concerns a lack of conformity existing at delivery and manifesting within the statutory period. It also allows agreed limits for used goods, subject to a minimum period. Do not read a shortened term in a quotation as automatically valid for every yacht sale. Have the actual clause assessed alongside the legal framework and the yacht's condition information. The detailed conformity standards, remedies and evidence burdens are not separately established in this pack, so the guide does not summarise them from memory.
Broker tip: Ask a locally qualified adviser to identify the applicable consumer-sale framework before accepting warranty wording. Treat the boat's used condition and a proposed shorter term as issues to assess, rather than automatic exclusions from protection. Section 3
A sale price and mediation commission answer different contractual questions. The sale definition concerns the price for transfer of the thing or right. The mediation provision concerns commission where the transaction is concluded through the mediator's intervention. As a practical recommendation, ask the written documents to show the boat price and any separately agreed intermediary charge clearly. Identify the payer and payment trigger for each obligation before agreeing the total. Do not assume that an advertised asking price explains every payment requested.
The opened Civil Code provision does not prescribe a single yacht commission percentage. It describes a fallback for determining amount and allocation where agreement, professional tariffs and usages do not resolve them. Ask the intermediary to explain the proposed calculation in writing. This is a recommended contract check, not a verified compulsory quotation form. No dealer margin, customary broker percentage or transaction-specific VAT treatment has been established in this guide, and none is inferred from the name used by the business.
Warranty timing also needs its own place in the purchase file. The Consumer Code states a limitation period for claims concerning defects not fraudulently concealed and a separate defensive exception. It is not simply interchangeable with the period during which a lack of conformity must manifest. Ask the adviser to explain the applicable dates for a real complaint. This guide avoids a universal dispute timetable and supplies no invented purchase-cost example because it gives no verified fee schedule or quoted transaction amounts. Dealer margins, customary commission, tax rates, sale-speed statistics and detailed consumer remedies are not covered here: email us at info@europeanyachtbrokers.com for the latest information.
Broker tip: Ask for the boat price, any intermediary commission and the payer of each obligation to be shown separately. Use the actual agreed amounts to check the total, and obtain specific advice on the tax treatment. See also our guide on what a yacht broker agreement in Italy should say.

The Civil Code's seller warranty addresses defects that make the sold thing unfit for its intended use or appreciably reduce its value. That is a seller obligation in the opened provision. It should not be transferred automatically to an intermediary simply because that intermediary arranged the introduction. Ask the adviser which legal framework applies and which party is responsible under the actual contract. Consumer sales also require their separate statutory assessment; this guide does not treat the Civil Code rule as the entire answer for every purchase.
The Civil Code also addresses a seller's bad-faith concealment of defects where the contract attempts to exclude or limit the warranty. Do not read an exclusion clause as a complete substitute for accurate condition information. As a practical recommendation, record known issues, ask for unclear descriptions to be corrected and preserve the information supplied before signing. These steps support a coherent transaction record. They are not a promise that a particular inspection or clause establishes the result of a later dispute.
Before committing, review the roles, price and condition terms together. Ask the contracting seller to confirm the description it is adopting and the intermediary to explain the service it provides. Where those accounts conflict, obtain a locally qualified assessment before payment. The guide gives no automatic guarantee based on the title broker or dealer, no market statistic about either route and no promise of a faster sale. Choose only after the actual obligations and outstanding checks are understandable in the transaction documents.
Broker tip: As a practical comparison, assess the actual seller, intermediary service and condition terms together. Have a locally qualified lawyer explain disputed or inconsistent roles before you sign, rather than choosing solely by the business's marketing description. Your questions
No; the documents need to identify the contracting seller and the business's actual role. The Civil Code distinguishes sale, involving transfer for a price, from mediation connecting parties under its defined relationship. As a practical recommendation, compare the seller's name, ownership information and signing arrangement before committing. Ask a locally qualified lawyer to explain a business acting for another owner if the roles remain unclear. (Normattiva – Civil Code Article 1754)
No automatic classification follows from the use of an intermediary. The Consumer Code addresses contracts between a consumer and a seller defined by business or professional activity, including someone acting in the seller's name or on its behalf. Ask a locally qualified adviser to assess the actual parties and arrangement. Do not assume that the word broker changes the underlying seller's status. (Normattiva – Consumer Code Article 128)
No; the Consumer Code's chapter includes used goods with its stated qualification concerning previous use and defects arising from normal use. The application to your purchase needs assessment of the actual parties and contract. Ask an adviser to review the proposed warranty terms and condition information together. This guide does not claim that every fault on a used yacht qualifies as a lack of conformity. (Normattiva – Consumer Code Article 128)
No; the opened rules describe different obligations. Sale concerns transfer for a price, while mediation commission is linked to a transaction concluded through the intermediary's intervention. Ask the documents to identify any separately agreed charge, payer and calculation basis. The Civil Code article does not supply a single yacht commission percentage, and this guide does not invent a dealer margin or customary fee. (Normattiva – Civil Code Article 1755)
The Civil Code states that a warranty exclusion or limitation has no effect where the seller concealed defects in bad faith. Ask a locally qualified lawyer to assess the applicable framework and actual facts before relying on a remedy. As a practical recommendation, preserve the descriptions and condition information supplied before signing. This rule is not presented as the complete answer to every consumer-sale dispute. (Normattiva – Civil Code Article 1490)
