THE EYB COUNTRY GUIDES · Portugal
Check the contracting business, representative powers and documented duties before relying on a broker.
By Peter Mattey · 9 min read · Facts checked 2026-10-03
Yacht broker regulation Portugal involves several separate checks. The company supplying the service must be identifiable, its representative must have the powers used, and the appointment must explain the broker's role. Official commercial-register information and the Civil Code help with those questions. This guide does not turn a company-register entry into a yacht-broker qualification or claim that an unverified specialist licensing requirement exists.
Use these checks before signing an appointment or accepting instructions to pay money. The guide covers verified identity and authority rules, with practical recommendations for the documents to request. An unresolved licensing claim, protected-funds claim or disputed authority needs confirmation for the particular business and transaction. Ask the broker for its full legal name and the entity that will issue the service invoice. As a practical recommendation, match that information to the appointment rather than relying only on a brand, website or business card. Portugal's permanent commercial-register certificate, certidão permanente, gives online access to records and documents of entities subject to commercial registration. Its role is to help identify and inspect the business. It does not itself certify that a particular employee has expertise in yacht transactions.
The official service distinguishes different certificate types, including the register record, underlying documents and current constitutional documents. As a practical recommendation, obtain the information that answers the actual identity and authority question. A certificate in English can help an overseas owner read the record, but the appointment and the person signing it still need checking. Keep the certificate access details with the sale file so the contracting entity can be compared with later invoices and payment instructions.
An active access code permits online consultation by anyone who has it, and the official service explains that the code can be supplied without printing a certificate. As a practical recommendation, request access from the business and inspect the record yourself. If the name on the appointment differs from the entity on the invoice, ask for an explanation before proceeding. A recognisable trading name should not obscure which legal person owes the service obligations or receives the agreed remuneration.
Broker tip: Match the legal name on the appointment, certificate and invoice. Ask for the active certificate code and retain the details with the transaction documents. Our guide on what a yacht broker agreement in Portugal should say covers a related point.

Section 2
A broker's involvement is not the same question as a representative's power to commit the owner. The Civil Code defines a power of attorney, or procuração, as the voluntary grant of representative powers. As a practical recommendation, ask what the intermediary is authorised to do for this boat: circulate information, negotiate, sign or receive money. Keep the answer attached to the actual appointment, and obtain appropriate documentary evidence before a representative signs anything on the owner's behalf.
The Code allows a third party to request proof of representative powers and a signed copy where those powers are documented. As a practical recommendation, use that evidence to identify the principal, representative and intended act. A copy of a sale advertisement does not explain the authority used in a contract. Ask a locally qualified adviser whether the document's form fits the transaction and whether any stated restriction affects the proposed price, conditions or completion arrangements.
Unauthorised representation has its own rule, with effectiveness against the principal dependent on ratification. As a practical recommendation, resolve an authority gap before treating a signature as the owner's commitment. The Code also addresses conflicts in self-dealing or acting for another party. Ask who each intermediary represents and disclose any overlapping role. The aim is a clear documented transaction, without assuming that a broker's title or access to the boat settles representation or removes a conflict.
Broker tip: Ask for the authority supporting the proposed act. Resolve signing powers and overlapping roles before accepting an offer or releasing funds. A related question is answered in our guide on how much yacht broker commission is in Portugal.

Section 3
The Code's mandate regime applies to undertaking legal acts for another party's account. It should be used only where the arrangement fits that scope. As a practical recommendation, ask for a written appointment explaining services, instructions and approvals. A marketing contract can raise different questions from an appointment to perform legal acts. If the broker uses a broad agency description, have unclear powers or duties explained rather than treating every intermediary as subject to an identical contract by law.
Where mandate applies, the agent's duties include following instructions and providing requested management information. As a practical recommendation, ask the broker to record price changes, responses to offers and commitments on work. Keep correspondence that shows which actions the owner approved. Reporting should identify the current position and what needs a decision. A general assurance that the sale is progressing does not explain whether the proposed transaction matches the owner's instructions or whether a material condition remains unresolved.
The accounting duty provides another practical check where money is received or expenditure is incurred under mandate. As a practical recommendation, ask for the account and supporting documents when appropriate. Distinguish remuneration, approved expenses and purchase funds. The mandate provisions are not evidence of a specialist protected-money scheme or compensation fund. If the broker claims funds are safeguarded, obtain the actual arrangement and verify the claimed protection separately before relying on it for a purchase deposit. No yacht-specific compulsory licence, public yacht-broker register or specialist compensation scheme was verified. Absence of verified specialist licensing evidence is not proof that no other legal or business requirements apply. For these, email us at info@europeanyachtbrokers.com for the latest information.
Broker tip: Check that the written appointment fits the work. Keep approvals, reports and financial accounts together, and verify any claimed money protection separately. See also our guide on whether to use a yacht broker or a dealer in Portugal.

Ask anyone claiming a specialist yacht-broker licence to identify the issuing body, the credential and the official record where it can be checked. This is a practical recommendation, not a statement that Portugal requires such a licence for every intermediary. No yacht-specific licensing regime was verified in the sources used for this guide. Equally, that research limit should not be rewritten as an assurance that no other legal or business requirement applies to the proposed activity.
Company information and representative powers answer different questions from technical competence or money protection. As a practical recommendation, examine each claim against its own evidence. A commercial-register certificate is the company record, while a power of attorney concerns authority granted by a principal. Ask for an explanation where those documents are presented as proof of a broader claim. Keep any professional membership or insurance statement separate and verify its actual scope before using it in a decision.
If authority changes during the transaction, the representation rules address suitable communication to third parties and return of expired documents. As a practical recommendation, maintain an up-to-date record of who can act and notify those handling the sale of relevant changes. An old document should not silently remain the basis for a new payment instruction. If the business, representative or beneficiary changes, pause the affected step long enough to establish the current identity and authority through the evidence appropriate to that role.
Broker tip: Ask for the official evidence behind each credential or protection claim. Confirm changes of entity, signatory or payment beneficiary before relying on fresh instructions. Readers often go on to our guide on how yacht sale escrow works in Portugal.

Your questions
No yacht-specific compulsory licensing regime was verified in the official sources used for this guide. That is a research limit, not a legal conclusion that every related requirement is absent. Ask a business making a licence claim to identify the issuing authority and official record. Keep that check separate from company registration and documentary authority to act for an owner. [Instituto dos Registos e do Notariado / gov.pt]
The commercial-register certificate provides company records and documents; it is not presented by the official service as a yacht-broker competence certificate. Use it to identify the contracting entity and inspect relevant business information. As a practical recommendation, examine claims of specialist qualifications, insurance and money protection separately, using evidence appropriate to the particular claim rather than a trading name or company entry alone. [Instituto dos Registos e do Notariado / gov.pt]
Yes, the Civil Code allows a third party to demand proof of representative powers and a signed copy where those powers are documented. As a practical recommendation, compare the document with the principal, boat and act proposed. Ask a locally qualified adviser about its required form and limits before relying on a signature or instruction made for the owner. [Procuradoria-Geral Distrital de Lisboa]
Where mandate applies, the agent must provide requested information about management and account at the end of the appointment or when the principal demands it. Confirm the arrangement's legal scope. As a practical recommendation, ask for updates that identify decisions and outstanding conditions, together with an intelligible account of money received or spent and the evidence supporting each relevant entry. [Procuradoria-Geral Distrital de Lisboa]
No protected-deposit scheme follows from the representative-power provisions cited here. Authority to act for an owner and the legal protection of money held are separate questions. As a practical recommendation, obtain the proposed holder's identity, account arrangement and written release conditions, and have significant protection claims verified separately before sending funds. Do not treat signing powers as a substitute for that evidence. [Procuradoria-Geral Distrital de Lisboa]
