Yacht Broker or Dealer in Portugal? Who Sells the Boat (2027)

Identify the seller, the intermediary's authority and which consumer-sale rules fit the transaction.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Yacht broker vs dealer Portugal is a question about the actual transaction, not just the name on the website. Find out who owns and sells the boat, whether the intermediary acts for that seller, and whether a professional is selling to a consumer. Those facts affect the documents and rules to examine. A broker's involvement does not alone establish that the broker is the seller or that every sale is a consumer sale.

This guide uses official company, representation and consumer-law sources to organise the checks. It explains the scoped conformity rules without presenting them as a guarantee for every private transaction. Buyers and sellers should resolve uncertain roles before agreeing the purchase or paying a separate intermediary's fee. Section 1

Who is the contracting seller?

Ask for the legal name of the seller and compare it with the boat's ownership evidence and the proposed purchase agreement. As a practical recommendation, ask whether the business advertising the craft owns it, sells it in another capacity or acts for someone else. A boat can be presented by an intermediary while the seller remains a different person. The role should be explicit before you interpret an advertisement, invoice or signing instruction as evidence of who owes the sale obligations.

The Civil Code defines sale as transfer of ownership or another right for a price and identifies transfer, delivery and payment as essential effects. As a practical recommendation, keep the seller and buyer clearly identified against those obligations. Ask who signs, who delivers the boat and who receives the price. The answers should connect to the actual legal parties. A separate service invoice from an intermediary should not leave the buyer uncertain about the person from whom the boat is being purchased.

For a Portuguese company, the permanent commercial-register certificate provides official company information. As a practical recommendation, use it to inspect the contracting entity and compare that entity with the purchase documents. If a brand and legal name differ, obtain a clear explanation. Where someone signs for a party, request evidence of representative powers. The company identity and the representative's authority are separate checks; having a company certificate does not explain every individual signature used in the transaction.

Broker tip: Identify the seller on the purchase agreement. Match company details and ownership evidence, then separately verify the authority of anyone signing for that party. Readers often go on to our guide on how much yacht broker commission is in Portugal.

Section 2

When do professional-to-consumer sale rules matter?

Decree-Law 84/2021 defines consumer and professional for its own regime. A consumer is an individual acting outside trade or professional purposes; a professional acts for purposes connected with its business activity, including through another person. As a practical recommendation, establish those roles from the actual sale. Do not assume that all buyers of pleasure craft are consumers or that a private seller becomes a professional seller merely because a broker helps to advertise the boat.

The regime applies to qualifying sales between professionals and consumers, and its definition of goods includes second-hand movable goods. As a practical recommendation, ask the adviser reviewing the sale whether that regime applies to the identified parties and boat. Read any warranty or condition statement against the correct scope. The legal role cannot be settled by choosing between the words broker and dealer alone. A business's actual involvement and the capacity in which the parties transact need to be understood.

If a professional seller acts through a representative, obtain clarity on the business responsible for the sale and the person's powers. As a practical recommendation, retain the seller's identity, the written offer and the sale agreement together. If an intermediary is only providing a service, have that role recorded separately. This avoids using a service appointment as though it were the boat-sale contract or directing a condition complaint to the wrong party because the advertising contact was more visible than the seller.

Broker tip: Check the actual seller and buyer capacities before applying consumer-sale rules. Have any unclear intermediary role recorded separately from the purchase contract. Our guide on whether yacht brokers are regulated in Portugal covers a related point.

Section 3

What condition and remedy rules apply within that regime?

In a qualifying consumer sale, the professional must deliver conforming goods. The rules address correspondence with the contract and accessories or instructions included in the agreed delivery. As a practical recommendation, retain an accurate specification, inventory and condition evidence. Discuss known departures expressly rather than leaving the buyer to reconcile a broad advertisement with a later disclaimer. The consumer regime needs to be read as a whole; a standard phrase is not a complete explanation of the transaction's conformity obligations.

The published law sets a conformity-liability period and a qualified option for used movable goods. The exact periods and the exception for reconditioned goods are listed in the facts below. As a practical recommendation, check any proposed reduction against the actual classification and agreement. An ordinary used boat should not be described as reconditioned merely to make the listing sound attractive. Keep the warranty statement consistent with the invoice and ask for review where the seller's description changes the applicable treatment.

The law provides remedies subject to its conditions, including repair or replacement, price reduction and termination. As a practical recommendation, report a condition concern with evidence and retain the communication. This guide does not promise an automatic refund for every fault or apply the professional-to-consumer regime to a private sale. Ask the adviser to assess the actual parties, reported problem and relevant conditions before drawing a conclusion about the remedy owed by the seller. Broker and dealer descriptions do not determine the actual contractual role or consumer-sale scope. No standard dealer margin, broker commission, market-practice percentage or private-sale warranty period is asserted. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: Keep the specification, inventory and condition disclosures. Check any used-goods period reduction expressly, and report a disputed fault with evidence to the identified seller. A related question is answered in our guide on what a yacht broker agreement in Portugal should say.

Section 4

How are intermediary fees and authority kept clear?

If the intermediary is appointed to perform legal acts for another party's account, the mandate provisions can be relevant. An advertising or introduction service is not automatically the same arrangement. As a practical recommendation, read the appointment separately from the purchase contract and identify who pays for the intermediary's work. A service fee should have its own scope and agreed payment event. Neither a dealer label nor a broker label supplies a national fee percentage.

For mandate, the Code limits general authority to ordinary administration and requires the agent to follow instructions. As a practical recommendation, obtain separate answers about advertising, negotiating and signing. If the intermediary proposes to accept an offer or authorise completion payments, check the powers used. A buyer should know whose decision is being communicated, and the seller should know which commitments were approved. The arrangement should not leave an owner's instruction indistinguishable from an intermediary's own suggestion.

Remuneration for professional mandate and accounting duties are addressed by the Code. As a practical recommendation, ask for an intelligible invoice and account of any money received or spent. Keep the purchase price, intermediary fee and third-party charges identifiable. Obtain separate holding and release terms if another person receives purchase funds. The distinction between broker and seller should remain visible through payment and handover, so the final documents explain both the boat sale and the services surrounding it.

Broker tip: Read the service appointment and boat-sale contract together. Keep seller identity, authority, service fees and purchase-fund instructions distinct and documented. See also our guide on whether you can sell a boat privately in Portugal.

Your questions

Frequently asked questions

Is the broker necessarily the seller?

No, the advertising contact's title does not establish the contracting seller. The Civil Code defines sale through transfer for a price and identifies its essential obligations. As a practical recommendation, compare the named seller in the purchase agreement with ownership evidence and identify the intermediary's role. If someone signs for the seller, verify the representative powers separately. [Procuradoria-Geral Distrital de Lisboa]

Does using a broker make a private sale a consumer sale?

A broker's involvement alone does not establish the professional-to-consumer sale conditions. Decree-Law 84/2021 defines consumer and professional and scopes the qualifying sales to which it applies. Identify who sells and in what capacity the parties act. As a practical recommendation, have uncertain roles reviewed rather than relying on the word broker or the boat's recreational use as the complete answer. [Diário da República]

What period applies to used goods in a qualifying consumer sale?

The published rule provides three years from delivery for lack of conformity and permits an agreed reduction to 18 months for used movable goods. Goods advertised as reconditioned are excepted from that reduction, with their quality stated on the invoice. These are scoped consumer-sale provisions. Confirm the actual parties and description before applying them to a yacht transaction. [Diário da República]

Does a fault automatically entitle me to a refund?

No automatic refund for every fault is stated here. Article 15 provides remedies under its conditions, including repair or replacement, price reduction and termination. The sale must first fall within the regime. As a practical recommendation, retain condition evidence and report the concern to the identified seller, then obtain advice on the applicable route if liability or the appropriate remedy is disputed. [Diário da República]

Can an intermediary charge separately from the boat price?

Check the service appointment and the party responsible for paying it. Professional mandate has remuneration provisions, but these do not give a national yacht-service percentage or answer every introduction contract. As a practical recommendation, agree the calculation and trigger, keep the service invoice distinct from the purchase price and obtain an account for money handled under the appointment. [Procuradoria-Geral Distrital de Lisboa]
