THE EYB COUNTRY GUIDES · Spain
Identify the seller and the intermediary's capacity before comparing the sale terms and applicable buyer protections.
By Peter Mattey · 9 min read · Facts checked 2026-10-03
Yacht broker vs dealer Spain is best answered by reading the transaction documents. The advertisement's label does not necessarily identify who owns the boat, who signs as seller or whether an intermediary contracts in its own name. Those distinctions can affect the contract and the buyer's legal route. Start with the actual parties and capacity, then examine delivery, included equipment and any trader-consumer relationship instead of assuming that a professional-looking listing supplies every answer.
This guide uses official commercial, maritime and consumer provisions to explain the relevant distinctions. It does not claim that every broker is only an introducer or every dealer owns the advertised boat. Practical document checks are recommendations, and an unclear agency structure or competing warranty route needs a locally qualified lawyer's advice. Key facts at a glance
Article 245 permits a commission agent to contract in its own name or in the principal's name, so the agent label alone does not identify the contractual counterparty. (BOE consolidation updated 9 May 2023.)
Boletín Oficial del Estado – Spanish Commercial Code ·Article 247 requires an agent contracting in the principal's name to disclose that capacity and state it in a written contract or before-signature wording with the principal's identity and domicile. (BOE consolidation updated 9 May 2023.)
Boletín Oficial del Estado – Spanish Commercial Code ·Article 118 requires a written ship-sale contract and states that ownership is acquired through delivery. (BOE consolidation updated 8 July 2020.)
Boletín Oficial del Estado – Maritime Navigation Act ·For goods within the trader-consumer conformity regime, Article 120 provides liability for nonconformity existing at delivery that manifests within three years; these goods provisions apply from 1 January 2022. (BOE consolidation updated 28 February 2026.)
Boletín Oficial del Estado – Consumer and User Protection Act consolidated ·The Maritime Navigation Act's fourth additional provision makes exercise of its maritime sale actions incompatible with exercise of the Consumer Act's goods-nonconformity actions, so the legal route must be considered rather than combined automatically. (BOE consolidation updated 8 July 2020.)

Ask for the legal identity of the seller and the capacity in which the person showing the boat acts. The Commercial Code permits an agent within its commercial-commission regime to contract in its own name or the principal's name. That means an intermediary's marketing label is not enough to establish the contractual counterparty. As a practical recommendation, compare the draft agreement with the ownership documents and proposed invoice before accepting an offer or making a payment. Obtain qualified advice if the identified parties do not match.
Where the agent contracts in its own name, the Code gives that arrangement a direct contractual effect. Where it contracts in the principal's name, disclosure and written identification requirements apply. Those are scoped rules, not proof that every yacht provider uses commercial commission. Ask how the particular appointment works and who is responsible for the promises made in the proposed sale. Keep the answer in the documents rather than rely on an informal explanation that the business is just acting as broker.
A business can offer several kinds of service, so examine this transaction rather than its general branding. Is the named seller an owner represented by the intermediary, or is the contracting business selling on its own account? Who approved the price and who can sign? These are practical questions to resolve. The sources used here do not establish a universal licensing distinction based only on the words broker and dealer. Have the actual authority and contracting structure reviewed before treating either label as a complete legal classification.
Broker tip: Identify the named seller and the signing capacity before paying. Compare the draft contract, ownership evidence and invoice, and ask for a documented explanation where an intermediary or another business appears between them. The Maritime Navigation Act distinguishes the written sale, included items and delivery from formalities supporting third-party effect. Its sale provisions extend to boats insofar as their nature permits. Prepare the equipment inventory and identify the documents to be delivered with the craft. As a practical recommendation, remove ambiguity about personal possessions, spares or advertised accessories before the agreement is finalised. The provider's commercial label does not establish what is included, and an old listing should not replace the actual inventory for this transaction.
Ask who delivers the craft and how the parties will record the handover. The maritime rule connects acquisition of ownership with delivery and separately addresses the written agreement and property-register formalities. Do not assume that payment of a reservation amount gives the same result as receiving the boat. Keep the document and payment sequence consistent with the actual contract. Where a notary or registry professional is involved, obtain the transaction-specific document list rather than copy another buyer's purchase route without checking its applicability.
The seller's identity also needs to remain clear through the records. If an intermediary sends the papers, ask who warrants their accuracy and who is responsible for delivering the promised boat and equipment. These are practical checks, not a national standard dealer handover policy. Preserve the final inventory, signed sale and delivery evidence together. If a record reveals another owner or an unexplained interest, resolve it with locally qualified advice before proceeding rather than assuming the professional involved has already settled every title issue.
Broker tip: Keep the final inventory, named seller and recorded handover event consistent. Ask the professional handling formalities which registry and document form apply rather than treating the provider's trading label as the registration process. Consumer law defines the parties through the transaction's purpose and business capacity. An individual buying outside business or professional activity can fall within the consumer definition, while a trader can act directly or through someone following its instructions. Identify those facts before choosing the applicable buyer-protection route. A broker providing a professional service is not automatically the trader selling the craft, and an owner's company status alone should not replace examination of the actual transaction. Obtain qualified advice if the relationship is unclear.
For goods within the trader-consumer conformity regime, the Act sets a liability period for nonconformity present at delivery and provides a separate possibility for agreed shorter periods in second-hand goods. Read the actual contract against those scoped rules rather than rely on a verbal promise of a warranty. Ask the seller to explain the applicable arrangement in writing. This guide does not apply the consumer periods indiscriminately to a private-owner sale or treat an intermediary's advertisement as proof of the seller's legal status.
Keep the boat-sale protections separate from the service appointment. The charge for arranging a viewing or introduction has different contractual subject matter from the sale of the craft. Ask who receives a condition complaint and which entity is identified as seller. The Maritime Navigation Act also addresses the interaction between its sale actions and consumer nonconformity actions, so qualified advice is needed before combining them. Do not present the legal periods as interchangeable warranties that can all be added together regardless of the parties and claim. No universal legal classification or licensing distinction based only on the marketing words broker and dealer was verified. The actual agency capacity, trader-consumer status and applicable claim route need transaction-specific assessment. For these, email us at info@europeanyachtbrokers.com for the latest information.
Broker tip: Identify whether the seller is acting as a trader and whether the buyer is a consumer for this purchase. Obtain the applicable conformity terms in writing and keep them separate from the intermediary's service agreement. Within consumer law, offers and advertised conditions can have contractual effect even where omitted from the signed document. Preserve the actual description and promises given during the sale. The conformity provisions also address agreed characteristics, accessories and instructions. As a practical recommendation, compare the signed inventory with those promises before handover and record any agreed clarification. Do not assume a broad statement about presentation or inspection erases a specific representation about the boat's equipment or condition without considering the applicable rules and contract.
The consumer regime provides its specified remedies for nonconformity and addresses compensation and withholding of an unpaid balance in the circumstances described. Those provisions need to be applied to the actual case, not reduced to an automatic refund promise. If a problem appears, preserve the evidence and notify the relevant named seller through a documented route. Obtain qualified advice on the available claim and the required next step. Keep any intermediary's service complaint distinct so it is not mistaken for the contractual claim against the boat seller.
The maritime and consumer claim routes have an express interaction rule, so do not pursue them as if every protection operates cumulatively. A locally qualified lawyer can assess the correct route from the seller and buyer status, contract, delivery and defect evidence. The opened sources do not establish the outcome of an individual complaint or a universal difference in prices between brokers and dealers. Choose the documented arrangement on its actual terms, responsibilities and evidence rather than unsupported assumptions about what a marketing label guarantees.
Broker tip: Preserve the advertisement, specific condition promises and final inventory. Direct a problem to the actual seller and obtain qualified advice on the applicable claim route before assuming all maritime and consumer remedies can be combined. Your questions
No: within commercial commission, an agent can contract in its own name or in the principal's name, with different effects and disclosure duties. Identify the seller and capacity in the actual sale document. Compare ownership evidence and the proposed invoice as practical checks. Do not treat a trading label as a universal legal classification or assume every intermediary appointment has identical scope. (Boletín Oficial del Estado)
The consumer framework requires the actual trader and consumer relationship to be identified. A professional service provider and the named boat seller are not automatically the same contracting party. Check the purpose, seller capacity and authority in this transaction rather than infer them from the advertisement. Where the relationship is unclear, obtain locally qualified advice before applying the goods-conformity periods to the purchase. (Boletín Oficial del Estado)
The Consumer Act permits an agreed shorter conformity period for second-hand goods within its regime, but not below one year from delivery. Its goods rule otherwise addresses nonconformity manifesting within three years, for defects existing at delivery. The amended regime applies from 1 January 2022. Identify the actual trader-consumer sale before relying on these periods; they are not supplied as a universal private-owner warranty. (Boletín Oficial del Estado)
Yes within the consumer advertising provision: offered services, conditions and guarantees are enforceable even where absent from the signed contract, with more beneficial contractual clauses prevailing. Keep the actual advertisement and specific promises with the final inventory. The conformity rules also address contractual description and accessories. Obtain advice on an individual dispute rather than assuming every statement guarantees a particular legal remedy. (Boletín Oficial del Estado)
No: the Maritime Navigation Act expressly makes exercise of its maritime sale actions incompatible with exercise of the Consumer Act's goods-nonconformity actions. Ask a locally qualified lawyer to identify the applicable route from the actual parties, contract and defect evidence. Keep the named seller, delivery record and description clear. Do not treat the different regimes as warranties that can always be added together. (Boletín Oficial del Estado)
