THE EYB COUNTRY GUIDES · Croatia
Define brokerage tasks, authority, fees, disclosures and withdrawal terms before appointing a broker in Croatia.
By Peter Mattey · 9 min read · Facts checked 2026-10-03
A yacht broker agreement Croatia should identify the service, the legal business providing it and the authority given by the owner. The Civil Obligations Act distinguishes an introduction service from specifically undertaken negotiations and separately authorised receipt of contractual performance. It also sets duties about care, material information and transaction records. Clear appointment terms help buyers and sellers understand who may do what and which event may produce a fee before a yacht sale becomes binding.
This guide covers scope, information duties, fee provisions and an orderly withdrawal or complaint process. Practical recommendations about written instructions do not decide a particular dispute. A locally qualified lawyer should review exclusive appointments, powers of attorney, governing law and clauses that may survive the end of marketing. For anything this guide does not cover, email us at info@europeanyachtbrokers.com for the latest information.

Narodne novine, updated 17 Mar 2005 ·Section 1
A brokerage appointment concerns bringing the principal into contact with a prospective negotiating party. The Act separately requires participation in negotiations where the broker has specifically undertaken it. The principal is not obliged to negotiate or conclude the proposed contract, although bad-faith conduct can create damage liability. Crucially, an instruction to broker the transaction does not itself authorise the broker to receive the principal's contractual performance. Special written authority is required for that role, so marketing, negotiating and receiving money should be distinguished.
Our recommendation is to identify the boat, the appointing owner, the legal brokerage business and the promised work before signing. Explain who may approve advertisements, arrange inspections and communicate offers. If negotiation is included, specify how instructions are given and what still requires the owner's decision. Ask local advice to review any separate power to sign or receive funds. A practical appointment should make the route from introduction to an approved sale understandable without implying that the broker owns the yacht.
For example, a person may manage viewings and communicate a proposed price but lack authority to accept it or receive the sale proceeds. Keep any additional authority separate and clear, and show the buyer which party will sign the sale agreement. Do not infer those powers from access to the boat, possession of its keys or an attractive listing. The purpose of the written scope is to avoid an apparent agreement between people whose actual instructions do not match the transaction being proposed.
Broker tip: Write down the tasks the broker may perform and the decisions reserved to the owner. Have separate signing or payment authority reviewed before anyone relies on it during a negotiation or deposit request. Broker introduction
Section 2
The Act requires the broker to seek a contracting opportunity with businesslike care and inform the principal of it. Significant circumstances that are known or ought to be known must also be disclosed. Unauthorised disclosure of instructions, negotiations or concluded terms can create liability for resulting damage. The broker must record essential details of a brokered contract in a brokerage diary and issue a signed extract. These duties provide a useful foundation for the appointment's reporting, confidentiality and record arrangements.
Agree how offers, inspection access and material information will be recorded and sent to the owner. Our recommendation is to keep a shared transaction chronology while retaining the original documents. Identify information that can be used in the advertisement and information that requires permission before disclosure. Make the scope of any promised negotiations clear. These practical arrangements help the parties evaluate the broker's work and distinguish a documented service from an unsupported assurance that everything has been checked.
An appointment does not replace the independent technical or legal work needed for a particular yacht. If an important fact emerges about the counterparty or the proposed transaction, ask for the supporting document and a written explanation of its significance. Keep the broker's report with the inspection or title evidence rather than treating the listing as a complete investigation. When the brokered contract is concluded, request the signed transaction extract described by the Act and retain it with the final sale agreement.
Broker tip: Set a reporting method before marketing begins and keep material disclosures in writing. Request the signed brokerage record when the contract is concluded so the final file preserves the brokered transaction's essential details. Section 3
Commission entitlement normally arises when the brokered contract is concluded unless otherwise agreed. If that contract contains a suspensive condition, entitlement arises only when the condition is fulfilled. Expense reimbursement requires agreement. A broker working for the other party contrary to the contract or the principal's interests loses commission and expense rights. Put these distinct questions into the appointment review: the fee trigger, the effect of a condition, authorised expenditure and any potentially conflicting work for the other party.
Ask for a written fee formula and identify the payer before the appointment starts. Describe which expenses are included, which require separate approval and what records support reimbursement. Our recommendation is to compare the fee trigger with the sale agreement's actual conditions before an offer becomes binding. A locally qualified lawyer should assess the legal character of a survey or approval clause and the governing law. An informal phrase such as subject to completion may not explain the legal result adequately.
If the broker will also undertake work for the buyer, require disclosure of that role before negotiations become advanced. State how competing instructions will be handled and who can approve any revised arrangement. Keep agreed changes with the signed appointment instead of relying on recollections of a call. The guide does not prescribe a compulsory yacht commission percentage or decide a disputed conflict. Its practical purpose is to make the fee and role provisions concrete enough to review before a sale is pursued. No compulsory yacht brokerage agreement form or nationwide exclusivity period was verified. The effectiveness of appointment terms, separate powers and international governing-law clauses requires review of the actual documents. Broker tip: Review the appointment and draft sale conditions together. Keep all agreed fee or role changes with the signed document, including any approval of work for another party and separately chargeable expenses. The Act permits revocation of the brokerage instruction unless the principal waived that right or withdrawal conflicts with good faith. The Ministry says a normal company-register extract gives information valid on its issue date, helping identify the business appointed. For a consumer service complaint, the Ministry allows a written complaint to the trader in person, by post or electronically. The trader has fifteen days after receipt to answer. Those provisions support an orderly process for changes and disputed service.
Our recommendation is to state the appointment's duration, the method for giving notices and what documents the broker must return when the work ends. Identify advertisements and access permissions that need to be updated. Ask local advice about exclusivity, any waiver of revocation and any claim tied to an earlier introduction. The revocation provision is qualified; it does not establish that every appointment can be cancelled without consequences. Use the actual legal business name when sending a notice or complaint.
If the relationship breaks down, keep the signed appointment, amendments, reports, expenditure approvals and the notice-delivery evidence. Explain which service or invoice item is disputed and request a written response. Do not treat a notice ending future work as automatically deciding whether earlier commission or expenses were earned. A commercial owner should also check whether the consumer complaint procedure applies. Local advice can address the contractual consequences while the preserved records make the parties' instructions and performance easier to assess.
Broker tip: Check the notice address and legal business name when you sign. Keep withdrawal notices and delivery evidence with the appointment, and review outstanding fees separately from the decision to end future marketing. Your questions
No. The Act says a brokerage instruction does not authorise the broker to receive the principal's contractual performance. Special written authority is required. Distinguish marketing and negotiation work from a payment-handling role and have the actual authority reviewed. The broker's access to the yacht or appearance in its advertisement does not establish the separate payment authority described in the Act. [Narodne novine]
The Act requires mediation in negotiations and efforts towards conclusion where the broker specifically undertook that service. Do not assume that every introduction appointment contains the same work. Describe the promised negotiations and the owner's approval process in the agreement, then retain the instructions and reports. The principal is not automatically obliged to accept the proposed transaction, although bad faith can create liability. [Narodne novine]
The broker must disclose significant circumstances that are known or ought to be known. The Act also addresses businesslike care, confidentiality and a signed extract of essential details of the brokered contract. Agree a written reporting method and keep material disclosures with their supporting documents. These duties do not make an advertisement a substitute for the technical or legal investigation required for the particular boat. [Narodne novine]
The Act permits revocation unless the principal waived that right or withdrawal conflicts with good faith. That qualification means cancellation should be assessed against the actual appointment. Review duration, exclusivity and notice terms with local advice, and preserve delivery evidence. Ending future marketing does not itself decide whether commission or expenses arising from earlier work are payable under the agreement and applicable rules. [Narodne novine]
Identify the appointed legal business and send a written complaint explaining the disputed work or charge, with the agreement and relevant correspondence attached. The Ministry consumer portal allows submission in person, by post or electronically and gives the trader fifteen days after receipt to answer. Confirm that your relationship qualifies as a consumer service relationship before relying on that procedure. [Ministry of Economy]
