THE EYB COUNTRY GUIDES · Croatia
Check commission triggers, expenses, conflicts and invoice evidence before appointing a Croatian yacht broker.

Yacht broker commission Croatia depends on the appointment and the brokerage rules governing the transaction. The Civil Obligations Act explains commission entitlement, the consequences of conditions and agreed expenses, and conflicts involving the other party. It does not provide a yacht-specific market percentage in the provisions reviewed. This guide helps buyers and sellers obtain a clear fee proposal, understand what event may earn the fee and keep the evidence needed to assess a disputed invoice.
The guide covers the fee amount, the payment trigger, expenses and a consumer complaint route. Recommendations about written quotations and document checks are practical preparation. A locally qualified lawyer should confirm the application of Croatian law to the actual appointment, especially for international sales or disputed commission. For anything this guide does not cover, email us at info@europeanyachtbrokers.com for the latest information.

Croatian brokerage law describes an introduction service that can earn commission when the resulting contract is concluded. It also recognises commission even when the parties did not expressly agree it. If the amount is not determined by a tariff, general instrument, agreement or custom, the court determines it by the broker's effort and service. A promise to pay even when the effort produces no result is treated under the rules for a contract for work. These distinctions make the fee proposal important before marketing begins.
Ask for the actual legal business, the service being purchased and the calculation in writing. For a percentage proposal, identify the amount to which it applies and how changes to the sale price affect the bill. For a fixed charge, specify what work it includes. Our recommendation is to separate success commission, authorised expenses and any payment for unsuccessful work. This is practical contract preparation: the official provisions reviewed do not supply a compulsory yacht brokerage percentage or confirm a commercial quotation as a national tariff.
Compare offers by their promised work rather than by the headline number alone. An introduction-only appointment and an appointment that includes negotiations can create different obligations. Record who pays the fee and which document controls if the advertisement, email proposal and appointment use different wording. Keep the signed version with any approved amendments. If a broker claims that a compulsory rate overrides your proposal, request the exact applicable instrument and have a locally qualified lawyer assess that claim before signing.
Broker tip: Ask for a fee example using the proposed sale price and another using a changed price. Keep the calculation with the signed appointment so the final invoice can be compared with the agreed formula. See also our guide on what a yacht broker agreement in Croatia should say.

Section 2
The default rule makes commission entitlement arise when the brokered contract is concluded, unless the parties agree otherwise. A suspensive condition postpones that entitlement until the condition is fulfilled. A resolutive condition is treated differently: its fulfilment does not affect the commission right. The law also preserves commission on an invalid contract if the broker did not know the cause of invalidity. Do not treat every failed completion as legally equivalent; the appointment and the actual sale clauses both matter.
Our recommendation is to align the appointment with the sale process before the first offer is accepted. Identify whether the proposed fee trigger is signing, fulfilment of an agreed condition or another expressly negotiated event. Ask local advice to classify the actual survey, finance or approval wording rather than relying on its informal label. Keep the offer, sale agreement, inspection decision and correspondence together. That record helps explain which event occurred and whether the broker's contractual entitlement has arisen.
A practical problem occurs when the buyer signs an agreement but later refuses delivery or payment. The seller may assume that no completed handover means no commission, while the broker relies on contract conclusion. Do not resolve that disagreement by deleting correspondence or treating the invoice as proof of entitlement. Compare the clause, the agreed conditions and the chronology with the verified legal distinctions. A locally qualified lawyer should assess disputed causation, contractual variation and the legal effect of the failed sale.
Broker tip: Put the commission trigger beside the sale conditions during contract review. Ask for clear wording that explains what happens if a condition fails or the parties sign but do not complete the handover. Readers often go on to our guide on what it costs to sell a boat in Croatia.

Section 3
Expense reimbursement requires an agreement under the brokerage provisions. Where reimbursement was agreed, the broker can claim it even if no brokered contract is concluded. Where both parties instruct the broker, the default allocation is half the commission and half agreed expenses from each, unless they agree otherwise. A broker who works for the other party contrary to the contract or the principal's interests loses commission and expense rights. These rules concern entitlement, not a published national yacht fee schedule.
Before authorising work, ask which advertising, photography, transport or other costs are included and which will be billed separately. Require approval for additional expenditure and retain the supporting quotation or receipt. If the broker also acts for the other party, ask for a clear written explanation of both appointments, the fee allocation and the potential conflict. Our recommendation is to discuss those points before negotiations start, when both sides can decide whether the proposed arrangement suits the transaction.
A failed sale can still leave an expense bill, while a conflict can raise a different dispute about both fees and expenses. Keep those issues separate. Compare each expense with the authority actually given and compare any conflicting activity with the broker's appointment and disclosed role. Do not assume that dual instruction automatically removes the fee or that every bill is payable because the broker incurred it. Preserve the evidence and obtain local advice where the parties disagree about consent, interests or the agreed allocation. No compulsory yacht-specific commission rate or market average was verified. The VAT treatment of a particular brokerage invoice and cross-border place-of-supply rules require separate official tax verification. For these, email us at info@europeanyachtbrokers.com for the latest information.
Broker tip: Approve separately billed work before it starts and keep the approval with the receipt. Require disclosure of another-party appointment so the commission discussion includes the broker's actual role in the sale. The Ministry explains that a normal Court Register extract contains information valid on its issue date, which helps identify the company billing you. For a consumer's service complaint, the Ministry consumer portal allows a written submission to the trader in person, by post or electronically. It gives the trader fifteen days after receipt to answer. The same portal identifies alternative dispute-resolution bodies for unresolved service disputes. These consumer routes depend on the relationship being between a consumer and a trader.
Check that the legal entity on the invoice matches the appointment and the company information you reviewed. Compare the fee calculation with the agreed formula, then separate commission from authorised expenses. Our recommendation is to set out any disputed items individually and attach the appointment, relevant sale clause and supporting correspondence. Send the complaint through a channel that provides a record of delivery. A company identity check helps direct that complaint but does not prove that the particular commission is due.
If the answer does not resolve the dispute, consider an appropriate alternative dispute-resolution body and obtain local advice about the next step. Keep the original documents and the reply rather than relying on a telephone summary. A seller acting commercially should not assume that consumer procedures apply simply because the yacht transaction involved a small business. The guide does not decide that status or guarantee a refund; it explains the official complaint route and the evidence that makes a disputed charge reviewable.
Broker tip: Keep the invoice, appointment and delivery record in the same folder. A complaint is easier to assess when it identifies the exact charge, the disputed trigger and the outcome you are requesting. A related question is answered in our guide on boat valuation in Croatia.

Your questions
No compulsory yacht brokerage percentage was verified in the official provisions reviewed. The Act recognises commission and explains how an unspecified amount can ultimately be determined if tariff, general instrument, agreement and custom do not settle it. Request the actual written fee proposal and the exact instrument if a broker claims a mandatory rate. An advertised commercial charge is not established as a national tariff by this guide. [Narodne novine]
No. The default rule links commission entitlement to conclusion of the brokered contract unless otherwise agreed. Suspensive and resolutive conditions have different consequences, so a failed handover does not answer the question by itself. Review the appointment alongside the sale clauses and the chronology. Ask a locally qualified lawyer to assess the actual condition and any disputed contractual variation. [Narodne novine]
Yes, where expense reimbursement was agreed. The Act permits agreed reimbursement even if no brokered contract is concluded. It does not give a general right to reimbursement where none was agreed. Keep written approvals and receipts, and compare each item with the authorised work. Separate that review from the question whether the broker has earned success commission. [Narodne novine]
The Act addresses a broker instructed by both parties. Unless they agree otherwise, the default allocation is half the commission and half agreed expenses from each. The broker must care for both parties' interests, and contrary-to-contract or contrary-to-interest work for the other party can remove fee and expense rights. Ask for the actual appointments and fee allocation in writing. [Narodne novine]
Compare the invoice with the appointment, calculation and fee trigger, then send a written complaint with the supporting documents. The Ministry consumer portal allows complaints in person, by post or electronically and gives the trader fifteen days after receipt to answer. It also identifies alternative dispute-resolution bodies for unresolved service disputes. Confirm that the consumer-and-trader relationship applies to your transaction. [Ministry of Economy]
