How Does Yacht Sale Escrow Work in Spain? 2027

Check who holds the purchase funds, the legal arrangement and the evidence required before release or return.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Yacht sale escrow Spain is a description that needs unpacking before money moves. Ask who will hold the funds, on whose terms and what evidence permits payment to the seller or return to the buyer. A bank account called client account does not answer those questions by itself. The official sources used here address Civil Code deposit and notarial deposit arrangements within their scope; they do not verify every service advertised as escrow.

This guide explains the custody questions, the recorded notarial option and the need to separate charges from purchase money. Practical checks are recommendations. Have a locally qualified lawyer examine the actual arrangement, particularly joint release conditions, disputed ownership or a proposed deduction, before either party relies on a general deposit rule. For anything this guide does not cover, email us at info@europeanyachtbrokers.com for the latest information.

Section 1

What does the proposed custody arrangement actually do?

Begin with the account holder and the proposed contract. The Civil Code defines deposit, depósito, through custody and return obligations, but that does not automatically classify every payment service called escrow. Ask a locally qualified lawyer to identify the arrangement before relying on a particular rule. As a practical recommendation, obtain a written description naming the custodian, the parties entitled to instruct it and the purpose of the funds. Keep the purchaser's money distinct from the broker's remuneration and any authorised expense payment.

The deposit provisions address the person entitled to return and prohibit use without express permission. The legal effect of permission to use the thing is also addressed separately. These rules show why the custody terms need examination rather than a reassuring label. Ask whether the proposed holder can use the money, deduct a fee or transfer it before completion. The guide does not verify a particular provider's account protection or insurance, so do not infer those protections merely from a promise that the account is separate.

Record the intended sequence before making payment. Identify the documents expected before release, how the custodian receives them and who resolves an objection. Those are practical contractual recommendations, not a national yacht escrow form. Have any condition tied to inspection, title or delivery checked for consistency with the sale agreement. If the buyer and seller understand the same event differently, resolve the wording before funding the arrangement. A clear account of custody purpose is more useful than relying on the word escrow alone.

Broker tip: Obtain the actual custody agreement before transferring money. Ask who owns the account, who can give instructions and whether the holder can use funds or make deductions before the agreed release event. See also our guide on what goes in a boat sale contract in Spain.

Section 2

What does a notarial deposit provide?

The Notarial Regulation provides a particular route for a notary to receive money or other property for custody or contract security. Acceptance is voluntary except where a law establishes the deposit, and conditions can be imposed. Ask the chosen notary whether the proposed transaction and deposit are acceptable before promising that route to the other party. This is a verified legal option, not a guarantee that every notary will offer the same yacht-payment service or accept the parties' draft conditions without review.

An accepted deposit is recorded with its identification and the conditions for constitution and return. A condition agreed with a third party has a specific evidential requirement before return. Ask the notary to explain exactly what proof will be sufficient in your transaction and obtain the terms before funds are lodged. Do not substitute an informal statement that the survey is fine for whatever evidence the arrangement actually requires. The sale agreement and deposit record should describe compatible events and recipients rather than competing release instructions.

The person requesting return must prove their right, and an unlawful contract-security proposal must be rejected. Identify who is depositing the funds and who can establish an entitlement to receive them at the relevant stage. As a practical recommendation, give the notary the complete proposed sale and custody wording early so the conditions can be considered together. The research verifies no standard notarial acceptance time or guarantee of instant release. Confirm the particular documents and arrangements with the notary rather than estimate them.

Broker tip: Ask the notary to accept the proposed arrangement and explain the release evidence before funding it. Keep the sale agreement and recorded deposit conditions consistent about the event, recipient and documents needed. Readers often go on to our guide on how to transfer boat ownership in Spain.

Section 3

How should charges and account treatment be explained?

Discuss the custody charge separately from the purchase price and service commission. The Civil Code contains a scoped presumption concerning deposit remuneration and an expense rule. Neither establishes the fee charged for a particular notarial act or commercial escrow service. Obtain the actual proposed charge and its basis before accepting the arrangement. Where consumer-service information duties apply, the total price or determination method must be disclosed. This guide supplies no unverified custody tariff, tax percentage or illustrative invoice made from assumed figures.

The Notarial Regulation addresses cash held under its deposit provision with a specific non-interest-bearing account and limits on returns or management. That is a rule for the notarial arrangement, not a description of every broker client account. Ask the chosen custodian to explain which regime and account treatment apply to your funds. Do not infer that a commercial account has the same treatment merely because the parties use similar language. Preserve the account identification, receipt and agreed custody terms with the purchase documents.

Agree how the payment records and later reconciliation will be provided. As a practical recommendation, require a clear account separating purchase money, agreed custody charges and any expressly authorised deduction. Ask for supporting documentation rather than accept an unexplained net transfer. This research does not verify the insolvency treatment, guarantee coverage or safeguarding arrangements of an individual provider. Those protections need their own evidence and qualified assessment before either party treats the account balance as secure for the entire period of the sale. No universal mandatory Spanish yacht escrow arrangement or standard deposit percentage was verified. No custody tariff, transaction-specific tax treatment or notarial processing guarantee was verified. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: Request the custody price and account treatment separately from the boat price. Keep payment receipts and a clear reconciliation so fees or deductions are not hidden inside the transfer of the purchase funds. Section 4

What happens if completion or release is disputed?

A dispute needs the actual custody contract and its legal category, not just a general deposit quotation. The Civil Code provides a return-on-demand rule with stated exceptions, while the notarial condition rule has its own evidential operation. Ask a locally qualified lawyer to assess how the arrangement works before assuming that either party can obtain release alone. As a practical recommendation, identify an objection procedure and the recipient of notices in advance, then preserve the original notice and response if the transaction stalls.

The Civil Code deposit provisions also address retention for amounts owed by reason of deposit and a custodian's justified early return. Those scoped rules should not be turned into authority for every broker to deduct commission from purchaser funds. Examine the particular custody, fee and sale documents together. Where a consumer-service contract is involved, its unfair-term rules also need consideration. Keep the disputed amount and the alleged basis for it clearly recorded so advice can focus on the actual arrangement and evidence.

Do not resolve contradictory instructions by sending a fresh payment to an unverified recipient. As a practical recommendation, contact the known custodian through an independently confirmed route and obtain an explanation of the required next step. This is payment caution, not a verified statutory verification protocol. The sources opened here do not establish a mandatory yacht escrow model, a standard dispute deadline or guaranteed recovery. Preserve all funding, condition and release records and seek qualified advice before accepting a disputed transfer or deduction.

Broker tip: Agree the objection and release process before funding. If instructions conflict, preserve the messages and contact the known custodian through a confirmed route, then obtain qualified advice before authorising a disputed deduction or transfer. Your questions

Frequently asked questions

Does the word escrow prove that my purchase money is protected?

No: the word does not establish the actual custody contract or a provider's protection arrangements. The Civil Code deposit definition addresses custody and return, while notarial deposits have their own recorded conditions. Identify the holder, authority and release evidence before transferring money. No individual account insurance, insolvency protection or guarantee was verified here, so ask for separate evidence and qualified advice on the proposed arrangement. (Boletín Oficial del Estado)

Can a notary hold money for the proposed sale?

The Notarial Regulation permits receipt of sums for custody or contract security, but acceptance is voluntary except where a law establishes the deposit. Ask the chosen notary to accept the specific arrangement before relying on that route. An accepted deposit is recorded with its identity and conditions, and the regulation addresses evidence for return where a third-party condition is agreed. (Boletín Oficial del Estado)

What happens when release depends on a condition agreed with the other party?

For a notarial deposit, the notary cannot return it until sufficient evidence of fulfilment of the agreed third-party condition is supplied. Ask what evidence the particular record requires and keep it consistent with the sale agreement. Do not assume an informal assurance is enough. The requesting recipient must also establish their entitlement, so identify the person and documents before money is lodged. (Boletín Oficial del Estado)

Does a notarial cash deposit earn a return for the buyer?

The Notarial Regulation's cash-deposit provision prohibits returns for the notary, depositor or third party and requires a specific non-interest-bearing account, with limits on management. That describes the notarial arrangement within its scope, not every commercial account called escrow. Ask the proposed holder to explain the applicable account treatment and obtain the custody charge separately from the boat purchase price. (Boletín Oficial del Estado)

Can a disputed commission automatically be deducted from the deposit?

No automatic right for every proposed escrow arrangement was verified. The Civil Code deposit provisions address scoped retention and return rules, but the actual custody, fee and sale contracts need assessment together. Obtain a clear account and qualified advice before authorising a disputed deduction. Where consumer-service law applies, its unfair-term provisions also matter. Preserve the funding and release instructions rather than relying on a general account label. (Boletín Oficial del Estado)
