How Does Yacht Sale Escrow Work in Croatia? 2027

Review payment authority, notarial custody, receipts and release instructions before funding a Croatian yacht transaction.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Yacht sale escrow Croatia starts with identifying who will hold the money and under what accepted instructions. Croatian law distinguishes brokerage authority from statutory notarial custody and provides rules for receipts, separate safekeeping and failed delivery. The label escrow alone does not identify the legal arrangement or establish a universal guarantee. Buyers and sellers should review the proposed mechanism alongside the sale contract so the payment process matches the actual conditions and intended closing.

This guide covers verified notarial custody rules and practical checks for a yacht deposit or sale balance. It does not approve a provider or determine a disputed refund. Have a locally qualified lawyer and the proposed custodian confirm the instructions, timetable and release evidence before funds are transferred. For anything this guide does not cover, email us at info@europeanyachtbrokers.com for the latest information.

Section 1

Establish the custodian's role before payment

A brokerage instruction does not itself authorise the broker to receive the principal's contractual performance; the Civil Obligations Act requires special written authority. The Notaries Act separately permits a notary to accept money for safekeeping. Acceptance is obligatory in the specified case where money is delivered in connection with preparation of a notarial act for a named person or authority. Where acceptance is not recorded in the act itself, the custody record must include the amount, depositor and instructions.

Our recommendation is to identify the legal custodian, the account and the reason for holding funds before sending a deposit. Ask whether the proposal is brokerage receipt under a separate authority, notarial custody or another documented arrangement. Have the actual documents reviewed by a locally qualified lawyer and obtain the custodian's confirmation that it accepts the instructions. Calling a payment escrow does not establish which legal mechanism applies or that the recipient has accepted a particular obligation to both sale parties.

For a practical closing, write down the evidence needed for release and the action required if that evidence is not supplied. Keep the custody instructions consistent with the sale agreement and any inspection condition. Do not assume that the marketing broker's authority covers receipt of the sale balance or that a notary must accept every proposed private arrangement. The guide verifies statutory notarial custody provisions but does not identify a compulsory yacht sale escrow scheme or approve a particular provider.

Broker tip: Before payment, obtain the custodian's written acceptance of the amount, purpose and instructions. Ask local advice to match the custody arrangement with the sale agreement, including the evidence required before release. Section 2

Document receipt and separate custody

The Notaries Act requires a receipt specifying the money or securities entrusted to the notary. Entrusted money must be kept separately from the notary's own money. The Act permits a special bank or financial-organisation account under the applicable rules and conditions. On authorised delivery, the designated recipient's identity must be established and the recipient confirms receipt in the file or deposit book. These safeguards describe notarial custody; they should not be applied automatically to an ordinary brokerage business account.

Ask for the custody receipt and keep it with the payment evidence, sale agreement and release instructions. Our recommendation is to confirm the account through an independently checked contact channel before transfer and to ask how the account is designated. Do not treat the existence of a bank account as proof that its balance is separately held for your transaction. A proposal that names a different recipient from the agreement should be resolved in writing before any payment is made.

When the parties change the amount or release instructions, obtain the custodian's accepted amendment rather than relying on an email between buyer and seller alone. Preserve a clear record showing what was received and which transaction it concerns. Separate custody reduces confusion between the notary's funds and entrusted funds, but the guide does not establish deposit-insurance treatment, an insolvency guarantee or a universal bank-account structure. Ask for specific evidence of any additional protection promised by the proposed custodian.

Broker tip: Keep the custody receipt and payment confirmation together. Verify changed account details independently and require accepted written amendments when the amount, beneficiary or release instructions change during the transaction. Section 3

Set a workable release and failed-delivery process

The Act requires action when the notary cannot make the instructed delivery within the specified period: after that period expires, the entrusted values must be returned without delay. Where no delivery period was fixed, return action is required at the latest fifteen days after acceptance. If return is impossible, the Act provides for court safekeeping and registered-letter notification to the depositor. A deposit with a notary has the effect of a court deposit under the separate deposit-effect provision.

Our recommendation is to agree the custody timetable and release evidence before the money is sent. Ask the notary how the statutory failed-delivery provisions fit the proposed sale conditions and what happens if the parties dispute an instruction. State who supplies each document and which communication confirms completion of the condition. Do not confuse the statutory fallback for undeliverable entrusted values with a general promise that every yacht deposit will remain held indefinitely until all disagreements have been settled.

A common practical difficulty is a disagreement after inspection: the buyer requests return while the seller argues that the release condition has been met. The custodian should not be left with incompatible informal instructions and no documented process. Preserve the accepted terms and obtain local advice about the actual dispute, the authority to vary instructions and any court route required. The guide does not determine a buyer's contractual refund right or promise that notarial custody makes a disputed sale automatically reversible. No compulsory yacht escrow scheme, specialist provider licence, mandatory broker client account or national compensation guarantee verified. Bank deposit-insurance and insolvency treatment of a particular custody account not verified. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: Discuss failed delivery before depositing funds and have the custodian confirm how the accepted timetable works. Keep refund rights under the sale contract distinct from the custodian's statutory return or court-deposit obligations. See also our guide on what a yacht broker agreement in Croatia should say.

Section 4

Identify the business and preserve dispute evidence

The Ministry says a normal Court Register extract contains information valid on its issue date and helps identify a registered business involved in the proposed arrangement. For a consumer service complaint, the Ministry portal permits a written submission to the trader in person, by post or electronically. It gives the trader fifteen days after receipt to answer and identifies the competent court where a service dispute cannot be resolved amicably. Those consumer procedures do not resolve ownership or release rights by themselves.

Our recommendation is to keep a payment file containing the named parties, the accepted custody instructions, the receipt and all release-related documents. Compare the business identity with the appointment and any invoice. If the problem concerns a brokerage service, explain the disputed act or charge clearly when complaining to the trader. If it concerns the notary's custody duties or the sale parties' rights, obtain local advice about the appropriate route rather than assuming the same consumer complaint process settles every issue.

When a dispute arises, preserve account confirmations and the exact instructions accepted by the custodian. Avoid changing the payment recipient or releasing documents merely because a party asserts that completion is urgent. A company extract identifies registered information; it is not certification of insured escrow or authority over the yacht. The guide does not verify specialist yacht escrow licensing, compulsory broker client accounts or a national compensation scheme. Assess any specific safeguards claim using its actual official basis and contract.

Broker tip: Keep a separate closing file for custody and release documents. If something is disputed, identify whether it concerns the sale contract, brokerage service or custodian's duty so local advice can address the right relationship. Your questions

Frequently asked questions

Does a yacht broker automatically have authority to hold proceeds?

No. The brokerage instruction does not itself authorise receipt of the principal's contractual performance; special written authority is required. Confirm who receives the money and what accepted arrangement controls it. The use of the word escrow, a company-register entry or access to the yacht does not establish separate custody protections. Review the actual authority and release instructions before funding the sale. [Narodne novine]

Can a Croatian notary hold sale money?

The Notaries Act permits acceptance of money for safekeeping and makes acceptance obligatory in the specified case connected with preparation of a notarial act for delivery to a person or authority. Ask the proposed notary to confirm the actual arrangement and instructions. This provision does not mean that every independently proposed yacht escrow service must be accepted or that a particular provider has been approved by this guide. [Narodne novine]

What receipt should I obtain?

The Act requires the notary to issue a receipt specifying the money or securities entrusted. Keep that receipt with the transfer confirmation and the accepted custody instructions. The Act also requires separate custody from the notary's own money and allows a special bank account under applicable rules. Ask for specific evidence of any additional bank, insolvency or compensation protection claimed for the proposed arrangement. [Narodne novine]

What happens if instructed delivery cannot be made?

The Act requires return action after the agreed delivery period expires, or at the latest fifteen days after acceptance where no period was fixed. If return is impossible, it provides for court safekeeping and notification to the depositor by registered letter. Discuss that statutory fallback with the custodian before payment. It does not itself decide whether the buyer has a refund right under a disputed yacht sale contract. [Narodne novine]

Does escrow guarantee a risk-free yacht purchase?

No universal guarantee was verified. The guide identifies specific notarial custody provisions, separate brokerage authority and practical document checks. Those do not determine the yacht's ownership, technical condition or a disputed sale-contract refund. Review the custodian's accepted instructions and obtain local advice about release conditions and the claimed safeguards. A company identity check is useful evidence but is not certification of insured escrow protection. [Narodne novine; Ministry of Justice]
