What Goes in a Boat Sale Contract in France? 2027

Understand the written maritime instrument, price and inspection conditions, representative powers and ownership declaration.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Boat sale contract France planning starts with the actual yacht, the parties and a written instrument suited to the transaction. The French Transport Code imposes a special writing requirement for ownership instruments involving registered vessels, while the Civil Code provides general rules on sale, conditions, defects and mandates. This guide explains verified provisions and practical drafting questions together, so buyers and sellers can obtain informed legal review without relying on an unverified standard template or confusing handover with administration.

The provisions cited are the official consolidated versions in force on 3 October 2026. Their application depends on the yacht, parties, governing law and agreement. Drafting and evidence suggestions are practical advice. Confirm current requirements with the relevant authority or a qualified adviser before signing, paying or relying on any exclusion. Section 1

Identify the yacht and every party in a written instrument

For a registered vessel within the relevant French maritime rules, a written instrument is a legal requirement, not simply a convenient record. Article L5114-1 of the Transport Code requires an instrument creating, transferring or extinguishing ownership or another real right in a registered vessel to be recorded in writing, failing which it is void. As practical advice, have a qualified adviser prepare or review the actual sale instrument and confirm the applicable law before relying on an informal exchange or a generic template.

The same article requires particulars identifying the interested parties and the vessel. As practical advice, compare the proposed document with the registration, permanent identification and each owner's records before signatures are collected. Clarify any company or representative involvement so the instrument names the correct party and the adviser can verify authority. A familiar boat name alone should not replace the identifying records, and the person who arranges viewings should not be assumed to own or represent every interest in the yacht being sold.

Article L5114-1-1 requires the sale instrument to be presented to the competent administration within one month from sale. The Ministry's practical transfer checklist calls for the invoice or sale instrument signed by all parties. As practical advice, organise signing and declaration together, retain complete copies and resolve missing signatures before completion arrangements become fixed. Written agreement, administrative presentation and physical handover answer separate parts of the transaction; plan each step rather than assuming that payment or delivery of keys automatically supplies the required ownership record.

Broker tip: Practical recommendation: verify the yacht's identity, every owner and signing authority before execution. Have the actual instrument reviewed and organise its administrative presentation within the applicable one-month period. Our guide on how yacht sale escrow works in France covers a related point.

Section 2

Make the price, conditions and trial arrangements explicit

The Civil Code's general sale provisions describe a sale as an agreement under which one party delivers a thing and the other pays for it. Article 1591 requires the sale price determined and designated by the parties. As practical advice, identify the actual yacht and included inventory, the agreed amount and the payment arrangements in the written instrument. Read these general provisions alongside the special maritime writing requirement, rather than treating a discussion of price as permission to dispense with the registered-vessel sale document.

Article 1584 recognises sales subject to a suspensive or resolutory condition. As practical advice, ask the adviser to describe any survey, finance, documentation or other agreed condition clearly, including the evidence required, deadlines and consequences if it is not satisfied. A casual reference to a survey does not explain what findings matter or how the parties should respond. Put the intended arrangement into the document before committing money, so the buyer and seller can understand the agreed process without relying on different interpretations of a short phrase.

Article 1588 provides a general presumption of a suspensive condition for a sale made on trial. As practical advice, have the adviser explain whether and how that provision relates to your actual agreement, and write down the trial scope, attendance, handling costs and decision process. This guide does not assume every viewing or sea trial is legally a sale on trial. Agree safe operating and insurance arrangements separately, and keep any survey or trial report with the transaction file rather than relying on memory after completion.

Broker tip: Practical recommendation: write the included inventory, agreed price and any conditions precisely. Ask the adviser to explain trial status and deadlines instead of assuming a viewing or inspection creates automatic cancellation rights. Section 3

Record condition evidence without promising away legal remedies

Article 1641 of the Civil Code addresses hidden defects that make the thing unsuitable for its intended use or reduce that use so substantially that the buyer would not have bought it, or would have paid less, had they known. As practical advice, record the yacht's known condition and relevant history accurately, and let the buyer's surveyor assess the present boat. The provision should not be described as an automatic guarantee that every later mechanical problem qualifies, because the legal criteria and evidence need assessment in the actual case.

Article 1642 distinguishes apparent defects that the buyer could establish themselves. As practical advice, keep the viewing, inspection and disclosure record clear, including the report's date, scope and any agreed exclusions. A survey is useful evidence but this guide does not claim it automatically eliminates every legal question about a later defect. Give the adviser the actual records if a problem emerges, so they can distinguish what was visible, what was disclosed and what the buyer could reasonably assess within the agreed inspection arrangements.

Article 1644 describes the buyer's choice, in the applicable hidden-defect cases, between returning the thing for reimbursement and keeping it with a partial price refund. Article 1648 requires the relevant action brought within two years from discovery of the defect. As practical advice, obtain legal advice promptly where a serious issue appears, and preserve evidence rather than assuming a standard repair allowance or a two-year warranty beginning at handover. The appropriate remedy, proof and limitation analysis depend on the facts and the applicable legal framework. No universal yacht sale template, mandatory deposit percentage or automatic survey cancellation mechanism was verified. General Civil Code principles are read alongside special registered-vessel writing requirements; actual governing-law and seller-status issues require qualified legal advice. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: Practical recommendation: document condition and inspection scope accurately, preserve reports and disclosures, and seek prompt legal advice on serious defects. Do not assume a survey or generic exclusion removes every possible remedy. See also our guide on how to register a boat in France.

Section 4

Check representative powers and complete the ownership record

If someone acts for an owner, the Civil Code's general mandate rules matter alongside the maritime sale formalities. Article 1988 says a mandate expressed in general terms covers administration, while alienation or another act of ownership requires an express mandate. As practical advice, have the adviser check the actual authority to sell and sign, rather than assuming that permission to market the yacht confers every transaction power. Separate promotional work, negotiation, acceptance, signing and receipt of money in the agreed instructions where relevant.

Article 1989 prevents an agent acting beyond the powers in the mandate, and Article 1993 requires the agent to account for their management and everything received under it. As practical advice, establish who may receive documents or money and how they will provide a record, then compare that arrangement with the signed instructions. Those general duties do not by themselves prove that a particular broker offers regulated escrow or an insolvency-protected account. Request evidence for the actual payment arrangement and have it assessed before relying on a label.

The Ministry warns that an unrecorded ownership change leaves the seller as administrative owner and annual-tax debtor until the change is recorded. As practical advice, retain the signed instrument, payment and handover evidence, and the administrative confirmation as a coherent completion file. Check the result while the parties remain available to resolve an omission. A completed physical handover should not be treated as proof that the official record has updated, and an agent's involvement does not remove the need to verify the actual declaration outcome.

Broker tip: Practical recommendation: verify representative powers and the actual money-handling arrangement before signing. Retain the signed instrument and completion evidence, then check the official ownership-change result rather than assuming handover updates it. Your questions

Frequently asked questions

Is an informal price agreement enough for a registered vessel sale?

The special maritime rule requires an instrument transferring ownership or another real right in a registered vessel to be recorded in writing, failing which it is void. It also requires party and vessel identification. As practical advice, obtain legal review of the actual sale instrument and applicable law; do not use a general Civil Code principle to bypass this specific registered-vessel requirement. (Legifrance, Transport Code vessel property provisions)

Can a survey condition simply be implied from an inspection booking?

The Civil Code recognises conditional sales, but this guide does not assume an inspection booking defines the condition, deadline or consequences of failure. As practical advice, have the adviser write the intended survey arrangement precisely, including the relevant findings and decision process. Clarify any sea-trial status separately rather than assuming every trial gives an automatic cancellation right. (Legifrance, Civil Code sale provisions)

Does the hidden-defect deadline run from handover?

Article 1648 specifies two years from discovery of the relevant defect for the hidden-defect action. That is not a general two-year warranty beginning on handover. As practical advice, preserve the condition, disclosure and inspection records and obtain legal advice promptly on a serious problem, so the criteria, evidence and any wider limitation issues are assessed in the actual case. (Legifrance, Civil Code hidden-defect provisions)

Does permission to market a yacht automatically authorise its sale?

Article 1988 distinguishes a generally worded administrative mandate from the express mandate needed for alienation or another ownership act. Article 1989 limits the agent to the powers granted. As practical advice, have the adviser check the actual instructions and signing authority, and identify separately any negotiation, acceptance, money-receipt or document-handling power needed for the proposed transaction. (Legifrance, Civil Code mandate provisions)

What should happen after the parties sign the sale instrument?

The maritime sale instrument must be presented to the competent administration within one month from sale. As practical advice, plan that step alongside payment and physical handover, retain complete copies and verify the recorded result. The writing requirement and presentation deadline serve different functions; a signed document in the parties' file does not itself show that the administrative update has completed. (Legifrance, Transport Code vessel property provisions)
