What Goes in a Boat Sale Contract in Portugal? 2027

Connect the identified boat, agreed price, condition evidence and completion sequence in terms reviewed for the actual transaction.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Boat sale contract Portugal should explain the transaction clearly enough for both parties to follow it through inspection, payment and handover. The Civil Code identifies transfer, delivery and price obligations, while its defective-goods provisions require careful attention to their scope. DGRM has a separate administrative document list for ownership transfer. This guide connects those official rules with practical drafting recommendations without claiming that one template settles every yacht sale.

Use a locally qualified lawyer where the seller's authority, condition wording, payment arrangements or applicable law is uncertain. Keep the exact boat identification, included equipment and agreed completion conditions visible. The recommendations below help organise questions for review; they do not provide a ready-to-sign legal form for every registration and transaction route. Section 1

What boat and obligations should the agreement identify?

Article 874 defines sale as a transfer of ownership or another right for a price. Article 879 identifies transfer, delivery and payment as essential effects. As a practical recommendation, begin with the actual parties, boat identification and agreed price rather than a general model description. Ask the lawyer to review who owns the interest being sold and who can commit each party. A person arranging a viewing or discussing an offer should not be assumed to have authority to sign merely because they are involved.

Describe the boat and included equipment in a clear inventory as a practical recommendation. Distinguish installed items from personal possessions and anything the seller intends to remove. Record the documents to be supplied, with an explanation of an unresolved discrepancy rather than leaving it implicit. A specification list should reflect the craft being sold, and significant representations should be reviewed alongside the inspection evidence. Do not assume an attractive advertisement becomes an adequate inventory simply by being attached without checking its contents.

Delivery and payment deserve their own agreed sequence. As a practical recommendation, identify the proposed location, evidence needed before release of funds and what constitutes physical handover. Agree how keys, documents and equipment will be delivered and retained, and ask the lawyer about any condition that could delay completion. The Civil Code's essential obligations do not supply every operational detail of your sale. Set out those details expressly so neither party has to infer the sequence from a conversation about the intended completion date.

Broker tip: Identify the actual parties, boat, included equipment and agreed price. Ask the lawyer to check authority and connect payment with a clear document and physical-handover sequence before the agreement is signed. Section 2

How should condition, inspection and defects be addressed?

Article 913 concerns defects that reduce value or prevent intended use, as well as absent qualities assured by the seller or necessary for that use. Where intended use is not established by the contract, it refers to the normal function of things in the same category. As a practical recommendation, describe known faults and significant claims accurately. Ask the lawyer how the inspection arrangements and proposed acceptance wording relate to those provisions, rather than assuming a broad sold-as-seen phrase answers every legal question.

Article 914 provides a repair remedy subject to stated limits, including the seller's lack of fault in ignorance of the defect. This is not a blanket promise that every fault produces the same result in every transaction. As a practical recommendation, define the purchase inspection's scope, access and reporting, then agree what happens if findings require further investigation. Give the lawyer the actual report and correspondence before altering condition terms, and obtain separate advice where consumer or another special regime may affect the sale.

Article 918 applies non-performance rules where a sold item deteriorates before delivery, among its stated cases. As a practical recommendation, ask the lawyer to address how a material change in condition during the period before handover will be handled. Establish who looks after the boat, who may use it and how a new incident is reported. Record the agreed position instead of treating the last viewing as a guarantee that condition cannot change, and retain relevant evidence if a problem arises before completion.

Broker tip: Disclose known concerns and define inspection, acceptance and pre-handover care in writing. Refer significant findings or new damage to the lawyer before assuming a generic condition phrase settles the parties' rights. See also our guide on how to transfer boat ownership in Portugal.

Section 3

Which expense and representation questions need clear wording?

Article 878 places contract and ancillary expenses on the buyer unless the parties agree otherwise. As a practical recommendation, identify the charges involved and state any different allocation expressly. Ask the lawyer about a disputed expense category rather than applying the default to every marketing or maintenance invoice. Keep the agreed purchase price separate from professional fees, preparation work and authority charges. A completion statement should make each payment understandable without relying on an unexplained deduction from a broadly described net price.

If an intermediary is to act for a party, Article 1157's mandate definition and Article 1159's limit on a general mandate are relevant where that regime applies. A general mandate covers ordinary administration, not an unlimited power to do anything connected with a sale. As a practical recommendation, have a qualified adviser identify the actual authority and legal character of the arrangement. Ask who may accept an offer, sign documents, receive money or alter conditions, with those powers documented rather than inferred from a brokerage title.

Article 1161 requires an agent within the mandate regime to follow the principal's instructions. As a practical recommendation, keep the written instructions aligned with the sale contract so that an intermediary does not receive conflicting accounts of the agreed terms. Record any changed price or condition through the authorised process and retain the resulting communication. If funds will be held by another person, obtain the actual holding and release terms for legal review; the existence of an agency instruction does not establish protected client money by itself. No universally applicable yacht-sale template or automatic effect of sold-as-seen wording is asserted. Consumer, special registration, applicable-law and transaction-specific title questions require qualified review. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: State expense allocation and verify any intermediary's actual powers. Keep instructions consistent with the sale terms, and have payment-holding arrangements reviewed independently before money is sent or release conditions are accepted. Section 4

How should the contract support ownership transfer?

DGRM's ownership-transfer request is made by the future owner or legal representative. It requires acquisition evidence and a copy of the booklet or equivalent still bearing the seller's name. As a practical recommendation, agree which record will evidence the acquisition and when the seller's registration copy will be supplied. Compare boat and owner details before signature, and resolve any mismatch early. An administrative application should follow the documented transaction; it should not be used to leave uncertainty about what was sold or who had authority unresolved.

DGRM describes its own transfer service as free but notes that additional local maritime-authority costs may apply. As a practical recommendation, confirm the complete procedure and costs for the actual boat and allocate responsibility in the agreement. Identify who will submit the request and retain the receipt. Where another registry, technical alteration or cross-border move is involved, ask the competent authority what additional route applies instead of assuming an ordinary ownership-transfer document list covers every step of the planned transaction.

Finish with a traceable completion file as a practical recommendation. Retain the signed agreement, inventory, inspection evidence, payment confirmation, document-delivery record and application receipt together. Verify bank details independently and confirm the authorised recipient before payment. Ask the lawyer to review an uncertain release event or unresolved title issue before funds move. A well-organised file explains what both parties agreed and did; it is not a guarantee against every later dispute or a substitute for the qualified review the transaction needs.

Broker tip: Agree the acquisition evidence, registration-copy delivery and transfer applicant before completion. Retain the signed terms, payment confirmation and submission receipt, with additional registry or cross-border steps confirmed separately. Your questions

Frequently asked questions

What are the essential sale effects in the Civil Code?

Article 879 identifies transfer of ownership or the right, delivery of the thing and payment of the price. As a practical recommendation, connect those obligations to the actual parties, boat inventory and completion sequence in the agreement. Ask a locally qualified lawyer to review uncertain authority or conditions rather than treating the general provision as a complete operating checklist for every yacht transaction. (Procuradoria-Geral Distrital de Lisboa)

Does sold-as-seen wording settle every defect issue?

That conclusion is not established here: Articles 913 and 914 contain scoped rules for defective goods and remedies. As a practical recommendation, disclose known concerns, define the inspection and acceptance arrangements, and have the proposed wording reviewed for the actual transaction. Consumer or other special rules may also need separate consideration, so do not treat a generic phrase as an automatic waiver of every possible claim. (Procuradoria-Geral Distrital de Lisboa)

Who normally bears contract and ancillary expenses?

Article 878 puts those expenses on the buyer unless the parties agree otherwise. The provision does not allocate every cost connected with marketing or maintaining the boat. As a practical recommendation, identify each charge, state any different allocation expressly and ask the lawyer about an uncertain category. Keep the resulting payment schedule consistent with the agreed price and completion statement. (Procuradoria-Geral Distrital de Lisboa)

Does a general mandate give unlimited authority to sell?

No: Article 1159 states that a general mandate covers ordinary administration. As a practical recommendation, have a qualified adviser check the actual powers needed for the proposed transaction and who may sign, receive money or change terms. The mandate regime must apply to the arrangement before its provisions are used; a brokerage title alone does not establish the full extent of authority. (Procuradoria-Geral Distrital de Lisboa)

Which records should the contract prepare for DGRM transfer?

DGRM requests acquisition evidence and a booklet or equivalent copy still identifying the seller; the future owner or legal representative applies. As a practical recommendation, agree document delivery and responsibility before completion, compare identifiers and retain the application receipt. Where another registration or cross-border step is planned, confirm its requirements separately rather than assuming this administrative checklist resolves every transaction issue. (DGRM)
