What Goes in a Boat Sale Contract in Croatia? 2027

Prepare the vessel description, condition terms, completion exchange and documents for a Croatian registered craft.

By Peter Mattey · 9 min read · Facts checked 2026-10-03

Boat sale contract Croatia research should begin with the parties, the craft and the proposed transfer route. A sale agreement needs to identify what is being sold, what the buyer will pay and when the seller must deliver it. Croatian registry instructions also describe the written document and signature needed when ownership is acquired through a legal transaction. A boat lying in a Croatian marina does not establish that its ownership is entered in the Croatian register.

This guide helps buyers and sellers prepare a transaction file for a locally qualified lawyer. It covers contractual obligations, survey and condition terms, delivery arrangements and registry documents. It distinguishes practical drafting recommendations from the official rules and flags the amended consumer repair provisions applying to current contracts. Section 1

Identify the seller, craft and included equipment

Begin with the identity of the contracting seller and buyer. Our recommendation is to match names and signing capacities against the ownership documents before choosing a contract template. The Croatian Civil Obligations Act, Zakon o obveznim odnosima, describes a sale as the seller undertaking to deliver a thing into ownership and the buyer undertaking to pay its price. A broker arranging the introduction does not become the contracting seller merely by circulating a specification or collecting the information needed for drafting.

Identify the craft in the agreement and attach the equipment schedule the parties have actually accepted. The Act requires contractual performance to be possible, lawful and specified or determinable. Our recommendation is to record the hull identity, registered identity, machinery and included equipment using the supporting documents, then list exclusions separately. A tender or electronic device photographed aboard should not silently enter the sale if its ownership or inclusion remains unresolved. Ask the lawyer to resolve material discrepancies before either party signs.

The delivery obligation includes the craft in proper condition and its accessories unless the agreement or nature of the transaction provides otherwise. Our recommendation is to distinguish promised repairs from equipment supplied in its disclosed condition. Keep the final inventory consistent with the advertisement and inspection record. Where a template refers to general terms, obtain those terms before signing: the Act addresses their incorporation and gives specifically negotiated terms priority if they conflict. The reader should be able to identify the final agreed package without reconstructing earlier conversations.

Broker tip: Our recommendation is to circulate the final inventory with the agreement, identify excluded items explicitly and resolve any mismatch between the seller identity and the ownership documents before arranging signature authentication. Section 2

Write the inspection and condition terms clearly

Our recommendation is to agree survey access, the intended inspection scope and the way findings will be considered before committing to the purchase. Separate a contractual inspection condition from the buyer's statutory remedies for defects. In consumer sales, the amended Act defines the consumer by the buyer's non-business purpose and the seller's business capacity. A private sale between individuals should not be described as a consumer sale simply because the buyer is an individual. Ask the lawyer to identify the actual relationship and the governing provisions.

The amended conformity rules cover the agreed description and characteristics, as well as a particular purpose communicated by the buyer and accepted by the seller. Our recommendation is to retain the specification and correspondence that establish those promises. Record known faults, incomplete work and any agreed treatment of the survey findings in a condition schedule. Do not rely on a broad phrase such as fully operational where the seller cannot demonstrate a system or knows that the relevant repair has not been completed.

The consumer rules also constrain blanket exclusions. A limitation agreed before the consumer notifies the seller of a defect is not binding under the amended provision. Our recommendation is to have the lawyer assess the proposed condition wording rather than assuming that an as-seen phrase removes every remedy. For contracts concluded from the current repair rules' commencement, the law also requires the seller to inform the buyer about the repair or replacement choice and the repair-related extension, except for commercial contracts. Keep that obligation separate from voluntary service promises.

Broker tip: Our recommendation is to attach the specification, disclosed faults and agreed survey response to the draft. Ask the lawyer to check consumer status and exclusion language together before relying on a condition clause. See also our guide on how to transfer boat ownership in Croatia.

Section 3

Align payment, delivery, risk and expenses

State the delivery place and the event that completes physical handover. Article 389 requires the seller to deliver at the time and place specified in the agreement. Our recommendation is to describe what the buyer receives at that event: access to the boat, the accepted inventory and the transaction documents. Explain payment arrangements alongside the handover terms so neither party assumes that an earlier reservation payment completes every obligation. The official sources used here do not prescribe a universal boat deposit percentage or brokerage completion account.

Risk and ownership deserve separate treatment in the drafting. The Act's general sale provision places accidental loss or damage risk on the seller until delivery and transfers it to the buyer on delivery, subject to its stated exception. Our recommendation is to ask the lawyer how that provision interacts with the particular transaction and insurance arrangements. Record who controls the boat before handover and who authorises any movement, inspection or repair. A signed agreement should not leave the parties guessing which event their insurance and possession arrangements are intended to follow.

The Act supplies a default expense allocation but allows a different agreement. Delivery and preceding expenses fall to the seller; removal and subsequent expenses fall to the buyer unless otherwise agreed. Our recommendation is to list the actual services needed for this sale and assign them explicitly: inspection access, lifting, document preparation, delivery and any agreed repairs. Obtain provider quotations instead of inserting an unsupported package fee. Where the parties want to depart from the default, have the lawyer state that departure clearly in the final document. No universal boat deposit percentage, mandatory escrow arrangement or standard contract preparation fee was verified. This guide does not determine governing law for foreign-flag or cross-border transactions. For these, email us at info@europeanyachtbrokers.com for the latest information.

Broker tip: Our recommendation is to write a completion checklist showing the payment event, physical handover and document exchange. Allocate each quoted service by name so the parties can see which expenses they have agreed to bear. Readers often go on to our guide on how to register a boat in Croatia.

Section 4

Prepare the title and registry documents

For a craft entering the Croatian Vessel Register through a legal transaction, the Ministry requires a written transaction document with a certified signature of the person whose right is transferred. Our recommendation is to confirm the required authentication and document wording with the competent Harbourmaster's Office before the parties travel to sign. A broker's memorandum or scanned signature should not be treated as proof that the registry documentary requirement has been met. A foreign-flag sale needs the transfer formalities applicable to its own registration route assessed separately.

Check the ownership and restriction records before finalising the transfer. Ministry instructions describe ownership in Sheet B and encumbrances and notices in Sheet C of the register folio. Our recommendation is to obtain the relevant records and ask the lawyer to review mortgages, disposal restrictions and other third-party interests. The Civil Obligations Act addresses undisclosed third-party rights that exclude, diminish or limit the buyer's right. A seller's promise to deliver clean title should therefore be reconciled with the documentary evidence and any agreed release arrangements.

The buyer of a Croatian registered boat or yacht must request the ownership-data change within the Ministry's stated period. Prepare that filing alongside completion, rather than assuming signature alone updates the register. The Ministry permits electronic submission of the request, but documents supporting entries in the ownership and encumbrance sheets must still be supplied as originals by post or in person. Our recommendation is to assign responsibility for those originals and keep a copy of the completed submission. Emailing a bundle does not remove the stated documentary requirements.

Broker tip: Our recommendation is to have the Harbourmaster's Office confirm the filing bundle before signature. Keep the ownership record, restriction evidence, authenticated document and original-document delivery instructions together with the completion checklist. Our guide on what a yacht broker agreement in Croatia should say covers a related point.

Your questions

Frequently asked questions

Can I use a broker's template without further checks?

A template should be checked against the actual craft, parties and transfer route before signature. The Act defines the parties' sale obligations, while the Ministry specifies documentary requirements for a Croatian registration based on a legal transaction. Our recommendation is to have a locally qualified lawyer review the agreed description, inventory, condition and completion terms, and confirm the filing documents with the competent Harbourmaster's Office. A template alone does not establish registry acceptance. (Narodne novine; Ministry of the Sea, Transport and Infrastructure)

Does a consumer protection clause apply to every private buyer?

No. The amended Act distinguishes a consumer acting outside business purposes from a seller acting within its business or professional activity. The relationship must be identified from the transaction, rather than from the buyer's individual status alone. Our recommendation is to ask the lawyer to classify the sale before reviewing defect exclusions and remedies. A private individual selling their own boat should not automatically be treated as a business seller. (Narodne novine)

When does accidental damage risk pass?

The Act's general sale rule passes accidental loss or damage risk to the buyer on delivery, subject to its stated defect-related exception. Our recommendation is to define the delivery event in the agreement and reconcile it with possession and insurance arrangements. Keep that question separate from the documentary requirements for registering the ownership change. An earlier payment or circulated contract should not leave either party guessing when physical control is handed over. (Narodne novine)

Who pays the delivery expenses?

The default rule assigns delivery and preceding expenses to the seller, and removal and subsequent expenses to the buyer, unless otherwise agreed. Our recommendation is to specify the actual services and the responsible party in the agreement. Obtain quotations for the services needed by the individual transaction rather than using an unsupported universal package. Any intended departure from the statutory allocation should be stated clearly in the final drafting. (Narodne novine)

Can the ownership filing be completed entirely by email?

No. The Ministry allows the request to be submitted electronically but requires originals of documents supporting entries in the ownership and encumbrance sheets to be delivered by post or in person. Our recommendation is to prepare those originals alongside the signed agreement and assign responsibility for their delivery. Retain the completed filing record with the handover documents so the buyer can follow the register change after completion. (Ministry of the Sea, Transport and Infrastructure)
