THE EYB COUNTRY GUIDES · Croatia
Prepare accurate specifications, disclose condition, organise title evidence and agree the work and documents needed for completion.

Preparing a boat sale Croatia starts with a file that a buyer can check against the boat. Ownership evidence, an accurate inventory and a clear condition record help the parties identify what is actually offered. Cosmetic work alone does not resolve a mismatch in the seller's name, an undisclosed mortgage or a machinery claim unsupported by the records. Croatian official sources explain the sale obligations, conformity rules and registry documents that the seller should consider while assembling the transaction.
This guide is for private owners and business sellers preparing a Croatian boat or yacht for marketing and inspection. It explains what to organise before accepting an offer and what to record at handover. Practical preparation suggestions are identified as recommendations; the legal treatment of defects and cross-border sales requires locally qualified advice. Our recommendation is to begin with the register evidence and compare it with the seller's identification and the boat's documents. The Ministry describes the register folio as separate technical, ownership and encumbrance records. Resolve inconsistent names or vessel identifiers before the specification is circulated. A registration certificate should not be treated as a complete answer to every ownership or restriction question. Give the broker and lawyer the material needed to identify the actual owner and any separate person authorised to negotiate or sign on that owner's behalf.
Review the restriction record before promising an unrestricted transfer. Ministry instructions place mortgages and other specified proprietary rights, charters and disposal restrictions in the encumbrance sheet. Our recommendation is to ask the lawyer to identify any lender release, consent or other evidence needed for completion. If deletion for another register is intended, the Ministry requires mortgage creditors' consent for a mortgaged yacht. Establish those arrangements while preparing the sale file rather than allowing the buyer to discover that the proposed registration outcome cannot proceed on the available documents.
The transaction document should be prepared for the intended register route. Ministry instructions require a written legal transaction with a certified signature of the person whose right is transferred when ownership is acquired through that transaction. Our recommendation is to confirm the documentary and authentication requirements with the Harbourmaster's Office before scheduling completion. Retain the supporting ownership chain and identify where the required originals are held. A signed brokerage mandate should not be treated as a replacement for the seller's transfer document or the buyer's subsequent register filing.
Broker tip: Our recommendation is to collect the ownership and restriction evidence before commissioning the listing. Identify the originals, authorised signatory and any lender document needed so the final completion bundle can be prepared without reconstructing the file. Section 2
Our recommendation is to compare the proposed specification with the boat and documentary records, then replace unsupported claims with a description that can be demonstrated. The amended Civil Obligations Act, Zakon o obveznim odnosima, treats departure from agreed description and characteristics as a material defect. Keep the advertisement, inventory and correspondence consistent. Do not describe an untested system as working simply because it is installed, and do not present a repair quotation as evidence that work has already been completed. Record what the seller can actually establish.
If the buyer communicates a particular intended use, distinguish that enquiry from a promise that the boat is suitable for it. The amended conformity provision covers a special purpose that the seller has accepted. Our recommendation is to put the seller's response in writing and seek technical advice where the intended use needs assessment. Likewise, record the agreed accessories and instructions rather than assuming every item or manual shown aboard will be delivered. The practical aim is a sale description that supports the actual agreement and identifies unresolved questions before commitment.
Public statements can also matter under the amended conformity rules, which address ordinary expected qualities including durability, functionality and safety. Our recommendation is to review marketing language and correct an inaccurate claim before the buyer relies on it. For a consumer sale, a departure from the objective conformity requirements needs specific information and the consumer's express separate acceptance under the Act. Ask a locally qualified lawyer to review that situation. A broad condition phrase should not obscure a fault that ought to be identified clearly in the condition schedule.
Broker tip: Our recommendation is to mark each material statement as demonstrated, supported by a record or still unverified before publishing. Keep accepted special-purpose promises and separately disclosed faults visible in the same specification file. See also our guide on what it costs to sell a boat in Croatia.

Section 3
Cleaning and presentation can help a buyer inspect the boat, but our recommendation is to prioritise access and an accurate work record. Prepare an inventory that identifies included accessories, excluded possessions and items awaiting repair. The Act's general delivery rule requires proper condition and accessories unless otherwise agreed or inconsistent with the transaction's nature. Decide whether a fault will be repaired, disclosed for sale in its present state or addressed through revised terms. Obtain a written work scope and retain evidence of completion rather than relying on the seller's recollection.
Agree who books inspection services and who pays before the boat is moved or work begins. The Act assigns delivery and preceding expenses to the seller, and removal and subsequent expenses to the buyer, unless otherwise agreed. Our recommendation is to specify the actual survey access, lifting, repair and delivery arrangements in the commercial terms. The guide does not verify a universal survey tariff or preparation allowance. Ask providers to quote the boat, service and intended activity so the parties can identify what has been ordered and what remains outside the quotation.
Seller knowledge of a defect has legal consequences. The Act limits reliance on a liability exclusion where the seller knew of a defect but did not inform the buyer, and the later consumer amendment adds a separate restriction on pre-notification exclusions. Our recommendation is to keep a written fault list and share it with the lawyer before finalising condition wording. Do not hide a known issue behind an inaccessible locker, an incomplete demonstration or an unexplained warranty phrase. The lawyer can then assess the clause against the actual disclosure and transaction relationship. No universal survey, lifting, cleaning or repair tariff was verified. The guide does not prescribe a statutory yacht sale survey scope or determine foreign-register transfer formalities. For these, email us at info@europeanyachtbrokers.com for the latest information.
Broker tip: Our recommendation is to issue a preparation sheet identifying the work, provider and agreed payer. Attach the disclosed fault list and completed-work records so the buyer can distinguish repairs undertaken from repairs merely proposed. Our recommendation is to prepare the handover record before completion, with the accepted inventory, condition schedule and documents ready for comparison aboard. The Act requires delivery at the agreed time and place and passes accidental loss or damage risk under its general rule on delivery, subject to its stated exception. State the intended handover event clearly and ask the insurer about the actual arrangements. The seller and buyer should be able to establish what was delivered and when without using a later registry decision as a substitute for the physical record.
The new owner of a Croatian registered boat must request the ownership-data change within the Ministry's stated period. Our recommendation is to prepare the buyer's filing bundle alongside the seller's completion documents and agree how evidence of submission will be shared. The Ministry requires originals supporting ownership and encumbrance entries to be delivered physically despite its electronic request route. Identify who holds those originals, who sends them and which copies each party retains. A tidy marketing file is incomplete if the final documentary requirements are left unresolved at handover.
If repairs form part of the seller's response to a legal defect, retain the contract date, notification and repair records. The current Civil Obligations Act amendment introduces a once-only extension of the specified defect-responsibility periods after repair and has a stated commencement scope. Our recommendation is to let the lawyer identify its application to the individual transaction rather than assuming every completed repair closes the matter. Keep the final specification and agreed condition schedule with that evidence so any later enquiry can be assessed from the same documented sale.
Broker tip: Our recommendation is to walk through the accepted inventory at handover and retain the signed delivery record with the condition schedule. Assign the ownership-change filing and original-document delivery before either party leaves the completion meeting. Your questions
Start with ownership and restriction evidence, an accurate specification and an inventory identifying what is included. Ministry instructions separate ownership from technical and encumbrance data, while the amended Act addresses agreed description and characteristics. Our recommendation is to compare those records with the boat before publishing and identify claims that remain unverified. Resolve the signatory and original-document questions early so the listing describes a transaction the seller can actually complete. (Narodne novine; Ministry of the Sea, Transport and Infrastructure)
Yes, a known fault should be addressed clearly in the preparation file and proposed condition terms. The Act makes a defect-liability exclusion invalid where the seller knew of the defect and did not inform the buyer; consumer exclusions face an additional amended restriction. Our recommendation is to provide a written fault schedule and have the lawyer review it with the clause. An unexplained as-seen phrase does not resolve that legal assessment. (Narodne novine)
The agreed inventory should identify the items the seller intends and is able to deliver. The Act addresses delivery with accessories unless otherwise agreed, and the amended conformity provisions include agreed accessories and instructions. Our recommendation is to list included equipment and exclusions separately, then check ownership of items supplied by third parties. A photograph of equipment aboard should not be allowed to settle an unresolved inclusion or ownership question. (Narodne novine)
No verified universal preparation budget is supplied by the opened official sources. The Act gives a default delivery-expense allocation, but the parties can agree otherwise. Our recommendation is to obtain quotations for the actual lifting, inspection access, repairs and delivery work, then state the payer and scope in writing. Keep existing ownership bills separate from newly authorised work so the seller can calculate the transaction from real services. (Narodne novine)
Include the accepted inventory, condition schedule, delivery record and the originals needed for the ownership filing. The Act requires delivery at the agreed time and place, while Ministry instructions assign the register-change request to the new owner and require physical delivery of relevant originals. Our recommendation is to prepare those records before completion and agree how the filing evidence will be shared afterward. Retain completed-repair evidence with the same file. (Narodne novine; Ministry of the Sea, Transport and Infrastructure)
